Terms of Service

1. Services Agreement

CodeBrix provides web development, design, and digital marketing services as specified in written proposals or service agreements. All services are provided subject to these terms unless otherwise agreed in writing.

2. Payment Terms & Fees

2.1 Project Fees

All prices are quoted in Nigerian Naira (₦) and include Value Added Tax (VAT) where applicable.

2.2 Payment Schedule

• 50% deposit: Required to commence project work
• 25% progress payment: Due upon design approval
• 25% final payment: Due upon project completion and before website launch

2.3 Accepted Payment Methods

• Bank Transfer (Nigerian Naira)
• Paystack
• Flutterwave
• Cash (Lagos office only)

2.4 Late Payments

Accounts unpaid 30 days after invoice date will incur a 5% monthly late fee.

3. Project Timeline & Delivery

Project timelines are estimates based on:

• Client feedback and approval speed
• Scope changes or additions
• Content delivery from client
• Third-party integrations and dependencies

Standard delivery: 30-60 days for standard websites, 60-90 days for e-commerce platforms.

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment of all fees, the client receives:

• Full ownership of final website design
• Source code and project files
• All custom graphics and assets created specifically for the project

4.2 CodeBrix Rights

CodeBrix retains rights to:

• Proprietary code frameworks and libraries
• Reusable code components
• Showcase completed work in our portfolio (unless otherwise agreed)

5. Support & Maintenance

5.1 Included Support

• Basic & Business Packages: 30 days post-launch support
• Enterprise Packages: 6 months post-launch support
• Support includes bug fixes and minor adjustments

5.2 Response Times

• Critical Issues: 24-48 hours
• Non-critical Issues: 3-5 business days

5.3 Extended Support

Available at ₦30,000 per month or ₦300,000 per year.

6. Refund & Cancellation Policy

6.1 Money-Back Guarantee

30-day money-back guarantee applies if:

• Website doesn't meet agreed specifications outlined in the proposal
• Written request made within 30 days of project launch
• No major design changes have been requested after approval

6.2 Project Cancellation

Clients may cancel projects at any time:

• Before work begins: Full deposit refund
• After work begins: Deposit retained, payment for completed work due

7. Client Responsibilities

Client agrees to:

• Provide accurate and complete information
• Respond to requests within 48 hours
• Provide all necessary content and materials
• Obtain necessary licenses and permissions for provided content

8. Limitation of Liability

CodeBrix's total liability for any claim shall not exceed the total fees paid for the specific project. We are not liable for:

• Third-party service outages (hosting, email, etc.)
• Losses resulting from client-provided content
• Consequential or indirect damages
• Losses exceeding the total project value

9. Hosting & Domain Registration

Hosting and domain registration are separate services:

• Clients may use their own hosting providers
• CodeBrix can recommend hosting partners
• Domain registration fees are separate from development fees
• Clients retain ownership of registered domains

10. Governing Law & Dispute Resolution

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through:

• Mediation in Lagos State
• If mediation fails, through Nigerian courts

11. Changes to Terms

CodeBrix reserves the right to modify these terms at any time. Current clients will be notified of significant changes.
